Terms of Use

These Terms of Use explain the rules for accessing and using Syntropic's public marketing website.

These Terms apply only to the public Site at syntropic.com. They do not govern Syntropic products, provider software, or customer services, which are subject to separate agreements.

01 / Agreement

Acceptance and Site scope

These Terms of Use (the "Terms") govern your access to and use of the public pages at syntropic.com and any other public Syntropic website that links to these Terms (collectively, the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

The Site presents general information about Syntropic and provides ways to make business inquiries. These Terms do not govern access to or use of Syntropic's software-as-a-service (SaaS) products, provider software, customer portal, application programming interfaces (APIs), command-line interfaces (CLIs), software development kits (SDKs), implementation or support services, or other products and services supplied to customers. Those offerings are governed by the applicable order form, customer agreement, product terms, and any business associate agreement (BAA) or data processing agreement (DPA).

These Terms do not create a right to use any Syntropic product or service. If these Terms conflict with a separate written agreement for a Syntropic product or service, that separate agreement controls for the product or service it covers.

02 / Clinical boundary

No medical advice or emergency use

The Site is a business and informational resource. It does not provide medical advice, diagnosis, treatment, or healthcare services, and its content should not be used to make clinical decisions or replace the judgment of a qualified healthcare professional.

The Site is not monitored or designed for emergencies. If you believe you or another person may have a medical emergency, call 911 or the applicable local emergency number, or seek immediate medical attention.

03 / Authority

Eligibility and organizational authority

You may use the Site only if you can legally agree to these Terms. If you access or use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" includes both you and the organization.

04 / Conduct

Acceptable use

You may use the Site only for lawful purposes and in accordance with these Terms. You must not:

  • violate a law, regulation, or another person's rights;
  • misrepresent your identity, affiliation, or authority;
  • introduce malicious code or use the Site to distribute harmful material;
  • interfere with the Site's operation, security, or other visitors' access;
  • attempt to gain unauthorized access to systems, accounts, or nonpublic information;
  • test or probe the Site for vulnerabilities without prior written authorization; or
  • use automated means in a way that bypasses access controls, copies substantial portions of the Site, or places an unreasonable burden on the Site.

You may not encourage or help another person do anything prohibited by this section.

05 / Ownership

Intellectual property and limited permission

The Site, including its design, text, graphics, logos, interfaces, and other content, is owned by Syntropic or its licensors and is protected by intellectual property and other laws. Syntropic and related names, logos, and product names are trademarks of their respective owners.

While you comply with these Terms, Syntropic gives you a limited, revocable, nonexclusive, nontransferable permission to access the Site and use its content for lawful informational and business-evaluation purposes. You may print or save reasonable portions for those purposes if you preserve proprietary notices.

Except as allowed by applicable law, you may not reproduce, modify, distribute, sell, license, publicly display, frame, mirror, or create derivative works from a substantial part of the Site without prior written permission. No other license or right is granted by implication or otherwise.

06 / Ideas

Feedback

If you voluntarily send Syntropic suggestions, ideas, or other feedback about the Site or Syntropic's products, you give Syntropic permission to use that feedback for any purpose without restriction, attribution, or compensation to you. Do not send feedback that you are not authorized to share or that you expect Syntropic to keep confidential.

07 / Other parties

Third-party links and references

The Site may link to or mention third-party websites, products, services, organizations, or publications. Syntropic does not control third parties, and a link or reference does not imply sponsorship, endorsement, or responsibility unless the Site expressly says otherwise.

Your interactions with a third party are governed by that party's terms and privacy practices. Review those terms before using a third-party site or service.

08 / Information

Privacy and sensitive information

Syntropic's Privacy Notice explains how Syntropic handles information from Site visitors and business inquiries.

These Terms are not a business associate agreement, data processing agreement, or authorization to submit protected health information (PHI) through the Site. Do not send patient information, medical records, test results, account credentials, payment-card information, or other sensitive information through public Site forms or ordinary email.

If you need to communicate about information governed by a customer agreement, use the designated customer or provider channel. Patients should contact the relevant healthcare organization through its patient or records channel.

09 / Website content

Site information and availability

Site content is provided for general information. Syntropic may update, correct, remove, suspend, or discontinue any part of the Site at any time. Syntropic does not promise that the Site or any particular content will always be available, complete, current, or error-free.

Descriptions of products, capabilities, integrations, roadmaps, or expected outcomes on the Site are not an offer, service-level commitment, or promise to deliver a feature. The scope and terms of any purchase are set only by the applicable written customer agreement and order form.

10 / No warranties

Disclaimers

To the fullest extent permitted by law, the Site and its content are provided "as is" and "as available." Syntropic disclaims all warranties, express or implied, relating to the Site, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement.

Syntropic does not warrant that the Site will be uninterrupted, secure, or free of harmful components, or that defects will be corrected. Nothing in these Terms excludes a warranty or right that applicable law does not allow to be excluded.

11 / Responsibility

Limitation of liability

To the fullest extent permitted by law, Syntropic will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunity, goodwill, or data, arising out of or related to the Site or these Terms, regardless of the legal theory and even if Syntropic was advised that such damages were possible.

These limitations apply only to the extent permitted by applicable law. Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded.

12 / Access

Suspension and termination

You may stop using the Site at any time. Syntropic may suspend, restrict, or terminate your access to the Site if Syntropic reasonably believes you have violated these Terms, created a security risk, or used the Site unlawfully.

When access ends, the permission granted under these Terms ends as well. Provisions that by their nature should continue after termination, including provisions about intellectual property, feedback, disclaimers, limitations of liability, and general terms, will remain in effect.

13 / Administration

General terms and severability

These Terms are the entire agreement between you and Syntropic concerning use of the public Site. They do not replace or amend an order form, customer agreement, business associate agreement, data processing agreement, or other separate written agreement.

If Syntropic does not enforce a provision of these Terms, that is not a waiver. Any waiver must be in writing. If a provision is found invalid or unenforceable, it will be enforced to the maximum extent permitted or severed, and the remaining provisions will continue in effect. Section headings are provided only for convenience.

14 / Updates

Changes to these Terms

Syntropic may revise these Terms to reflect changes to the Site, business practices, or legal requirements. The current version will be posted here with an updated date. If a change is material, Syntropic will provide additional notice when required by law.

Your continued use of the Site after revised Terms take effect means you agree to the revised Terms. If you do not agree, stop using the Site.
